These Terms of Service ("Terms") are a binding agreement between you and Ai Agents Labs LLC, a California limited liability company ("Ai Agents Labs," "we," "us," "our"), governing your access to and use of ai-agentsclub.com/join, the AI Agents Club membership, our software tools, our live sessions, and everything we provide (together, the "Services").
By purchasing a membership or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old and able to form a binding contract. By using the Services you represent that you are.
The AI Agents Club is a subscription that provides access to: live build sessions, recordings of those sessions, the course library, the lead scraper tool, the client CRM and project board, templates and scripts, the private member community, and any additional materials we choose to include. We may add, change, or remove specific components at any time; the membership is access to the Club as it exists at the time, not to any one feature in perpetuity.
Live build sessions are a core part of the Club, and their schedule, frequency, duration, format, topics and host are all subject to change at our discretion and without notice.
Specifically, and without limiting the above:
No refund, credit or extension is owed for any session that is rescheduled, cancelled, shortened, or delivered in a different format than described, and a change to the live-session schedule is not a breach of these Terms. If we ever discontinue live sessions entirely, we will give members reasonable notice, and you may cancel at any time under Section 3.2.
Your subscription is to the AI Agents Club as a whole. It is not a purchase of, and does not entitle you to, any specific session, any specific number of sessions, or attendance by any specific person.
Payments are processed by Whop. By subscribing you authorize us and Whop to charge your payment method on a recurring basis:

Charges continue at the stated price and interval until you cancel. There is no minimum term and no cancellation fee. We email a receipt for every charge. Where required by law we send advance notice before a renewal, including the date, the amount and how to cancel.
Prices may change. We will notify you before a change takes effect on your plan, and you may cancel before it does.
You are responsible for keeping your payment method current. If a payment fails we may retry it and may suspend access until it clears.
You may cancel at any time:
Cancellation stops future charges and takes effect before your next renewal. Your access continues through the end of the period you have already paid for; we do not prorate or refund partial periods. We will not require you to call, chat with a retention agent, or complete any step to cancel that was not required to subscribe.
The guarantee applies to your first payment and only your first payment.
If, within 30 days of your first payment, you decide the AI Agents Club is not for you, email support@ai-agentsclub.com and we will refund that first payment in full. No reason required. You keep any templates, scripts or recordings you downloaded before requesting the refund.
The guarantee does not extend to renewal payments. Once you have been billed a second time, your first payment is outside the 30-day window and the guarantee no longer applies to your account.
Worked examples:
Beyond the first-payment guarantee, payments are non-refundable. We may make exceptions at our discretion — a duplicate charge, a billing error on our side, or a charge made after a valid cancellation request. Email support@ai-agentsclub.com and we will make it right.
If you believe a charge is wrong, email us first — we resolve most billing issues within one business day. Filing a chargeback without contacting us may result in your account being closed.
Approved refunds go back to the original payment method. Your bank or card issuer typically posts the refund within 5–10 business days.
Keep your login credentials confidential. You are responsible for everything that happens under your account. Accounts are for one person. Sharing credentials, or providing access to the Services to anyone who has not paid, is a material breach and we may terminate your access without refund.
All course materials, recordings, templates, scripts, prompts, software, text, graphics, and other content in the Services are owned by Ai Agents Labs LLC or its licensors and are protected by copyright and other laws.
We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the materials for your own business while your membership is active.
You may: use the templates, prompts, scripts and workflows in your own business and in work you deliver to your own clients.
You may not: resell, redistribute, publish, share, or license the materials themselves; record, screenshot, or repost live sessions or member content; use the materials to create a competing course, community, or training product; or remove any proprietary notice.
Your licence ends when your membership ends. Files you downloaded during an active membership may be kept for your own use, subject to the restrictions above.
The lead scraper surfaces publicly available business contact information. You are solely responsible for how you use it. That includes compliance with all applicable laws, among them the CAN-SPAM Act, the Telephone Consumer Protection Act, state telemarketing and anti-robocall rules, GDPR, CCPA/CPRA, and the terms of service of any platform you use for outreach.
We do not warrant that scraped data is accurate, current, or lawful for any particular use. Nothing in the Services is legal advice about your outreach.
In the member community you agree not to: harass, threaten or abuse anyone; post unlawful, deceptive, hateful or sexually explicit content; spam, solicit or recruit members for other offers; share other members' private information; impersonate anyone; or share Club materials outside the Club. We may remove content and terminate accounts for violations.
You will not: reverse-engineer, scrape, or copy the Services; attempt to gain unauthorized access to any system; interfere with the Services' operation; use the Services to build a competing product; or use the Services for any unlawful purpose.
The Services are educational. We do not guarantee any income, client, or business outcome. Please read our Earnings Disclaimer — it is incorporated into these Terms.
The Services reference and integrate third-party software (AI models, hosting, payment processors, and others). We do not control those services, are not responsible for them, and their availability, pricing, and terms may change. You are responsible for your own accounts and costs with them.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI AGENTS LABS LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to indemnify and hold harmless Ai Agents Labs LLC from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, your outreach or marketing activity, or the services you provide to your own clients.
We may suspend or terminate your access for breach of these Terms, non-payment, or conduct that harms other members or us. If we terminate for breach, no refund is owed. You may cancel at any time as described above.
We may update these Terms. Material changes will be posted here with a new "Last updated" date and, where required, notified to you by email. Continuing to use the Services after changes take effect means you accept them.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in San Diego County, California, and you and Ai Agents Labs LLC each consent to the personal jurisdiction of those courts.
Note for counsel: no arbitration clause or class-action waiver is included here. Both are enforceable in California only if drafted to specific standards, and a defective clause is worse than none. Add them on advice of your attorney if you want them.
If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may. These Terms, together with the Privacy Policy and Earnings Disclaimer, are the entire agreement between us.
